Dan Carroll
Partner/Co-Founder
Dan brings a combination of business and legal experience to his clients, having had a career as an electrical and computer engineer prior to entering the legal profession as an attorney at several law firms and later as an in-house attorney for several technology companies. Dan's legal practice includes working with both public and private companies at various stages of development in a wide variety of industries, focusing primarily on transactional work and general business representation, including mergers and acquisitions, technology licensing, venture financing and general business counseling.
Before joining Carroll & Vounessea, LLP, Dan was most recently Vice President and General Counsel of Engage, Inc., a publicly-traded enterprise software company, where he was responsible for overseeing the company's ethics, corporate governance, litigation and dispute resolution, intellectual property portfolio, merger and acquisition activity, SEC compliance and contracts, and advised the management team on legal and operational issues. Prior to Engage, Dan served as in-house legal counsel to Akamai Technologies, a publicly-traded company, where he supported Akamai's product development and sales departments on structuring, drafting and negotiating legal agreements such as license, service and strategic partner agreements, and also supported Akamai's business development department by analyzing and evaluating technology companies for partnership potential. Before going in-house, Dan spent several years as an associate in the business and finance law departments of Mintz, Levin, Cohn, Ferris, Glovsky & Popeo and at Warner & Stackpole, specializing in representing technology-based companies.
Dan is a graduate of Tufts University where he earned his BSEE and MSEE and a graduate of Boston College Law School.
Stefan Vounessea
Partner/Co-Founder
Stefan brings a combination of practical business and legal experience to his clients, having worked in both a large firm corporate law department and also as in-house counsel to a publicly traded technology company. Stefan now works with clients in a diverse range of industries, assisting such clients on their transactional and day-to-day commercial contract needs, including, general corporate, licensing, technology and business matters.
Before joining the firm, Stefan acted as Associate General Counsel for Engage, Inc. (a CMGI Company) and was an associate in the Boston office of Mintz, Levin, Cohn, Ferris, Glovsky & Popeo, practicing in the firm's real estate and business and finance departments.
Stefan received his B.S. from Tufts University and his J.D. magna cum laude from Boston College Law School, is admitted to practice in Massachusetts, and is a member of the American, Massachusetts and Boston Bar Associations.
Christina Kennedy
Partner
Christina is an experienced legal professional and trusted corporate advisor with significant experience representing clients on commercial contracts. Christina works with clients in a diverse range of industries, assisting such clients on their transactional and day-to-day commercial contract needs, including, general corporate, licensing, technology and business matters. Christina has negotiated and drafted numerous software license, reseller and OEM agreements, service and support agreements and other similar commercial agreements. Christina also has experience negotiation with state and local governments, and working with clients to establish GSA schedules through resellers.
Before joining the firm, Christina acted as Legal Counsel for Dassault Systemes Americas Corp. and as Assistant Corporate Counsel for Endeca Technologies, Inc., where she drafted and negotiated a wide variety of licensing contracts.
Christina received her B.A. from Providence College and J.D. from Suffolk University Law School. Christina is admitted to practice in Massachusetts.
Steven McAleer
Partner
Steven is an experienced legal professional and trusted corporate advisor specializing in negotiating, drafting, and reviewing complex business and technology agreements. Steve brings an extensive and diverse legal capacity to the firm, having held several senior in-house positions with technology organizations, plus working as a business and technology firm attorney, and as a government lawyer in public service.
In addition to commercial transactions, Steve’s practice focuses on a wide spectrum of other business and corporate matters, assessing technology related risk and compliance, intellectual property, and support of M&A activity. Prior to joining Carroll & Vounessea, Steve held several senior level in-house counsel positions with national technology companies, including as General Counsel for Altran North America and its domestic affiliates.
Steven received his B.A. from Boston College and his J.D. (High Technology Law Concentration Program) from Suffolk University Law School, and is admitted to practice in Massachusetts and the United States District Court for the District of Massachusetts.
